Pricing & Validity
Promotional pricing is valid for 45 days from receipt of this offer. Prices are FOB Ho Chi Minh, Vietnam and exclude ocean freight, duties, and inland delivery, which are estimated and confirmed once the order is booked. Allocation references are assigned per release and fill on a first-confirmed basis.
Payment Terms
30% deposit due to confirm and commence production; 60% due prior to shipment; balance due per invoice. A 2% monthly penalty applies to late balances. Deposits are non-refundable once production has commenced.
Importer of Record & Bill of Lading
Planet Import remains the sole Importer of Record and the named consignee on the Bill of Lading until the buyer’s balance is paid in full. Title to the goods does not pass, and the Bill of Lading will not be released, until payment has cleared in full. In the event of buyer default or non-payment, Planet Import retains the unconditional right to take possession of, hold, reposition, re-consign, store, or resell the container and its contents at the buyer’s expense, without further notice. This provision survives any default or termination.
Shipping & Title
Goods ship FOB HCM, Vietnam. Freight estimates are indicative and subject to ocean-rate fluctuation until booked. Risk of loss and title transfer to the buyer upon full payment and release of the Bill of Lading.
Claims
Breakage or shortage claims must be submitted within 72 hours of receipt with photo documentation. Standard breakage allowance is 3%. US Customs clearance and Loadstar coverage apply as arranged.
Order Minimums
Minimum order is one (1) full pallet per SKU; mixed containers are sold as configured. The container described herein is offered as a complete, pre-mixed 1×40HC assortment.
Confidentiality & Intellectual Property
Pricing, designs, molds, and product specifications are proprietary and confidential to Planet Import / Habitudes. Buyer agrees not to reproduce, copy, or disclose them to third parties. Any license to resell is non-exclusive and revocable.
Governing Law
This agreement is governed by the laws of the State of California, with exclusive jurisdiction and venue in Orange County, California.
